Agreement to Our Legal Terms. We are House of Bitcoin ("Company", "we", "us", "our"). We operate https://houseofbitcoin.com (the "Site"), together with any other products and services that link to these Terms (collectively, the "Services"). You can contact us at legal@houseofbitcoin.com. These Terms constitute a legally binding agreement between you, personally or on behalf of an entity ("you"), and House of Bitcoin, concerning your access to and use of the Services. By accessing the Services, you agree that you've read, understood, and agreed to be bound by all of these Terms. If you do not agree, you are expressly prohibited from using the Services and must discontinue use immediately. We'll provide prior notice of any scheduled changes to the Services. Continuing to use the Services after a change takes effect means you agree to the modified Terms. The Services are intended for users who are at least 18 years old; persons under 18 are not permitted to use or register for the Services. We recommend printing a copy of these Terms for your records.
The information provided through the Services isn't intended for distribution to, or use by, anyone in a jurisdiction or country where that would be contrary to law or regulation, or would subject us to a registration requirement there. If you access the Services from another location, you do so on your own initiative and are responsible for compliance with local law.
The Services aren't tailored to comply with industry-specific regulations (such as HIPAA or FISMA). If your use of the Services would be subject to such laws, you may not use the Services. You may not use the Services in a way that would violate the Gramm-Leach-Bliley Act (GLBA).
We own or license all intellectual property rights in the Services, including source code, databases, functionality, software, designs, audio, video, text, photographs, and graphics (collectively, the "Content"), as well as the trademarks, service marks, and logos within them (the "Marks"). Our Content and Marks are protected by copyright, trademark, and other intellectual property laws and treaties, in the United States and around the world. The Content and Marks are provided "as is" for your personal, non-commercial use only.
Subject to your compliance with these Terms, including the Prohibited Activities section, we grant you a non-exclusive, non-transferable, revocable licence to access the Services and to download or print a copy of any Content you've properly accessed, solely for your personal, non-commercial use.
Except as set out here or elsewhere in these Terms, no part of the Services, Content, or Marks may be copied, reproduced, republished, uploaded, posted, publicly displayed, encoded, translated, transmitted, distributed, sold, licensed, or otherwise exploited for any commercial purpose without our prior written permission.
To request any other use of the Services, Content, or Marks, contact legal@houseofbitcoin.com. If we grant permission to post, reproduce, or display our Content, you must identify us as the owner or licensor and keep any copyright or proprietary notice visible.
We reserve all rights not expressly granted to you. Any breach of these intellectual property terms is a material breach and ends your right to use the Services immediately.
Review this section and the Prohibited Activities section carefully before using the Services, to understand the rights you give us and the obligations you take on when you post or send content through the Services.
"Submissions" means any question, comment, suggestion, idea, feedback, or other information you send us directly about the Services. By sending a Submission, you assign us all intellectual property rights in it — we own it and may use and disseminate it for any lawful purpose, commercial or otherwise, without acknowledgment or compensation to you.
"Contributions" means content you create, submit, post, display, transmit, or distribute to us or through the Services — including text, video, audio, photographs, graphics, comments, reviews, ratings, or other material — where the Services invite you to chat, post, or otherwise participate (for example, blogs, message boards, or forums). A publicly posted Submission is also treated as a Contribution. Contributions may be viewable by other users and through third-party websites.
By posting Contributions, you grant us an unrestricted, irrevocable, perpetual, non-exclusive, transferable, royalty-free, worldwide licence to use, copy, reproduce, distribute, sell, publish, broadcast, store, publicly perform or display, reformat, translate, excerpt, and otherwise exploit your Contributions (including your name, image, and voice) for any purpose, and to prepare derivative works from them, across any media format or channel, and to sub-licence these rights.
By sending Submissions or posting Contributions, you confirm you've read and will comply with the Prohibited Activities section; that you waive any moral rights in them to the extent permitted by law; that you own them or hold the necessary rights and licences to grant us the rights above; and that they aren't confidential. You're solely responsible for your Submissions and Contributions and agree to reimburse us for losses arising from your breach of this section, a third party's IP rights, or applicable law.
We have no obligation to monitor Contributions, but may remove or edit any Contribution at any time, without notice, if we consider it harmful or in breach of these Terms — and may suspend or disable your account and report you to the authorities as a result.
By using the Services, you represent and warrant that: all registration information you submit is true, accurate, current, and complete, and you'll keep it updated; you have the legal capacity to comply with these Terms; you're not a minor in your jurisdiction; you won't access the Services through automated or non-human means (bots, scripts, or similar); you won't use the Services for any unlawful purpose; and your use won't violate any applicable law or regulation. If any information you provide is untrue, inaccurate, or incomplete, we may suspend or terminate your account and refuse further use of the Services.
You may need to register to use some Services. You're responsible for keeping your password confidential and for all activity under your account and password. We may remove, reclaim, or change a username we consider inappropriate, obscene, or otherwise objectionable, at our discretion.
You may not access or use the Services for any purpose other than the one for which we make them available, or in connection with any commercial endeavour we haven't specifically approved. As a user, you agree not to:
The Services may invite you to chat, contribute to, or participate in blogs, message boards, forums, or similar functionality, giving you the opportunity to create, submit, post, or distribute content — text, video, audio, photographs, graphics, comments, suggestions, or other material (collectively, "Contributions"). Contributions may be viewable by other users and through third-party sites, and may be treated as non-confidential and non-proprietary.
By creating or making available any Contribution, you represent and warrant that: it doesn't infringe any third party's copyright, patent, trademark, trade secret, or moral rights; you own it or hold the necessary licences, rights, and consents to use it and let us and other users use it as contemplated by the Services and these Terms; you have consent from every identifiable person in it to use their name or likeness; it isn't false, inaccurate, or misleading; it isn't unsolicited advertising, a pyramid scheme, spam, or similar solicitation; it isn't obscene, violent, harassing, defamatory, or otherwise objectionable; it doesn't ridicule, threaten, or promote violence against anyone; it doesn't violate any law, regulation, or third party's privacy or publicity rights; and it doesn't involve or endanger minors in any way.
Violating any of the above is a breach of these Terms and may result in termination or suspension of your right to use the Services.
By posting Contributions to the Services, you automatically grant us — and warrant you have the right to grant — an unrestricted, irrevocable, perpetual, non-exclusive, transferable, royalty-free, worldwide licence to host, use, copy, reproduce, disclose, sell, publish, broadcast, archive, store, publicly perform or display, reformat, translate, and distribute your Contributions (including your image and voice) for any purpose, and to create derivative works from them, across any media format or channel now known or later developed, including use of your name and any trademarks or logos you provide. You waive all moral rights in your Contributions to the extent permitted by law.
We don't claim ownership of your Contributions — you retain full ownership and any associated intellectual property rights. We're not liable for statements or representations in your Contributions, and you're solely responsible for them, agreeing not to pursue legal action against us regarding them.
We may, at our sole discretion, edit or redact any Contribution, re-categorise it, or pre-screen and remove it at any time and for any reason, without notice. We have no obligation to monitor Contributions.
The Services may link to third-party websites or include third-party content (articles, images, software, or similar) that we don't investigate, monitor, or check for accuracy or appropriateness, and for which we take no responsibility. Linking to or including third-party sites or content doesn't imply our endorsement. If you leave the Services to visit a third-party site, you do so at your own risk, these Terms no longer apply, and you should review that site's own terms and privacy practices. Any purchases you make through third-party sites are solely between you and that third party — we're not responsible for those transactions or any harm arising from them.
We reserve the right, without obligation, to: monitor the Services for violations of these Terms; take legal action against anyone who violates the law or these Terms, including reporting to law enforcement; restrict, limit, or disable access to any Contribution at our discretion; remove content that's excessive in size or burdensome to our systems; and otherwise manage the Services to protect our rights and their proper functioning.
We care about data privacy and security. Please review our Privacy Policy, which is incorporated into these Terms by reference.
The Services are hosted primarily in the United States. If you access them from a region with data laws that differ from those of the United States, your continued use means you consent to your data being transferred to and processed in the United States.
These Terms remain in effect while you use the Services. Without limiting any other provision, we reserve the right, in our sole discretion and without notice or liability, to deny access to and use of the Services to anyone for any reason, including breach of any representation, warranty, or covenant in these Terms. We may terminate your use, delete your account, and remove any content you've posted, at any time and without warning.
If we terminate or suspend your account, you're prohibited from registering a new account under your name, a fake name, or someone else's name. We may also pursue civil, criminal, or injunctive remedies.
We reserve the right to change, modify, or remove Service content at any time, at our discretion and without notice, and have no obligation to update information on the Services. We're not liable for any modification, suspension, or discontinuance of the Services.
We can't guarantee the Services will be available at all times — hardware, software, or maintenance issues may cause interruptions, delays, or errors. We're not liable for any loss or inconvenience caused by downtime or discontinuance, and nothing in these Terms obligates us to maintain, support, or update the Services.
These Terms and your use of the Services are governed by the laws of Delaware, USA, applicable to agreements made and performed there, without regard to conflict-of-law principles.
Any legal action brought by either party will be commenced in the state and federal courts located in Delaware, USA, and both parties consent to jurisdiction and venue there, waiving any objection based on lack of personal jurisdiction or inconvenient forum. The United Nations Convention on Contracts for the International Sale of Goods and the Uniform Computer Information Transaction Act (UCITA) don't apply to these Terms.
The Services may contain typographical errors, inaccuracies, or omissions — including in descriptions or availability. We reserve the right to correct these and update information at any time, without prior notice.
THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, AT YOUR SOLE RISK. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE MAKE NO WARRANTY ABOUT THE ACCURACY OR COMPLETENESS OF THE SERVICES' CONTENT, OR THAT OF ANY LINKED SITE, AND ASSUME NO LIABILITY FOR ERRORS, UNAUTHORIZED ACCESS TO OUR SERVERS, INTERRUPTED TRANSMISSION, OR HARMFUL CODE INTRODUCED BY THIRD PARTIES. WE DON'T ENDORSE OR GUARANTEE ANY THIRD-PARTY PRODUCT OR SERVICE ADVERTISED THROUGH THE SERVICES. USE YOUR OWN JUDGMENT AND EXERCISE CAUTION WHERE APPROPRIATE.
IN NO EVENT WILL [LEGAL ENTITY NAME], OPERATING HOUSE OF BITCOIN OR ITS DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY DIRECT, INDIRECT, CONSEQUENTIAL, EXEMPLARY, INCIDENTAL, SPECIAL, OR PUNITIVE DAMAGES — INCLUDING LOST PROFITS, LOST REVENUE, OR LOSS OF DATA — ARISING FROM YOUR USE OF THE SERVICES OR RELIANCE ON ANY DATA THEY DISPLAY, INCLUDING FINANCIAL LOSSES RELATED TO DIGITAL ASSET DECISIONS, EVEN IF WE'VE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
Some jurisdictions don't allow certain limitations on implied warranties or liability, so some of the above may not apply to you.
You agree to defend, indemnify, and hold harmless [Legal Entity Name], operating House of Bitcoin, its subsidiaries, affiliates, and their officers, agents, partners, and employees from any loss, damage, liability, claim, or demand — including reasonable legal fees — made by any third party arising from: your Contributions; your use of the Services; your breach of these Terms or of your representations and warranties here; your violation of a third party's rights, including IP rights; or any harmful act toward another user you connected with via the Services. We may, at your expense, assume exclusive control of the defence of any matter subject to this indemnity, and you agree to cooperate with that defence.
We maintain certain data you transmit to the Services to manage their performance, along with data about your use of them. Although we perform routine backups, you're solely responsible for all data you transmit or that relates to your use of the Services, and we have no liability for its loss or corruption.
Visiting the Services, emailing us, or completing online forms are electronic communications. You consent to receive communications from us electronically, and agree this satisfies any legal requirement that such communications be in writing. You agree to the use of electronic signatures, contracts, and records in connection with the Services, and waive any right to require an original (non-electronic) signature or record where the law allows.
If a complaint with us isn't satisfactorily resolved, California residents may contact the Complaint Assistance Unit of the Division of Consumer Services of the California Department of Consumer Affairs in writing at 1625 North Market Blvd., Suite N 112, Sacramento, California 95834, or by phone at (800) 952-5210 or (916) 445-1254.
These Terms, and any policies we post regarding the Services, constitute the entire agreement between you and us. Our failure to enforce any right or provision doesn't waive it. We may assign our rights and obligations at any time, and we're not liable for delay or failure caused by circumstances beyond our reasonable control. If any provision is found unlawful or unenforceable, the rest remains in effect. Nothing here creates a joint venture, partnership, employment, or agency relationship between you and us, and these Terms won't be construed against us for having drafted them.
